2. Services

Great Peak Consult provides digital marketing and business support services as agreed between us and the client in a separate service agreement, proposal, or statement of work. These Terms apply to all such engagements unless expressly superseded by a written agreement signed by both parties.

We reserve the right to refuse service to anyone for any reason at any time. We may modify, suspend or discontinue any service at any time with reasonable notice.

3. Client Responsibilities

You agree to provide accurate, complete and up-to-date information required for us to deliver the agreed services. This includes timely provision of content, approvals, access credentials and feedback as reasonably requested.

You are responsible for ensuring that any materials, content or information you provide to us do not infringe the intellectual property rights, privacy rights or any other rights of any third party, and do not violate any applicable law or regulation.

4. Fees and Payment

Fees for our services are as set out in the applicable proposal or invoice. Unless otherwise agreed in writing, payment is due within the timeframe stated on the invoice. We reserve the right to suspend or terminate services if payment is not received by the due date.

All fees are non-refundable unless otherwise expressly stated in a written agreement. Any additional work requested beyond the agreed scope may be subject to additional charges, which will be communicated to you in advance.

5. Intellectual Property

Upon receipt of full payment, all deliverables created specifically for you under a service agreement become your property. Great Peak Consult retains ownership of all pre-existing tools, templates, methodologies, frameworks and background intellectual property used in delivering the services.

You grant us a non-exclusive licence to use your name, logo and project details for the purpose of delivering the services and, unless you request otherwise in writing, for use in our portfolio and marketing materials.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement and not to disclose it to third parties without prior written consent, except as required by law.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Great Peak Consult shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or business opportunities, arising out of or in connection with our services or these Terms.

Our total liability to you for any claim arising out of or in connection with these Terms or our services shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.

8. Disclaimer of Warranties

Our services are provided on an 'as is' and 'as available' basis. We make no warranties, express or implied, regarding the results that may be achieved through our services, including but not limited to search engine rankings, lead volumes, or revenue outcomes. Digital marketing results depend on many factors outside our control.

9. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable service agreement. Upon termination, you remain liable for all fees incurred up to the date of termination. We will deliver any completed work product for which full payment has been received.

We may terminate your access to our website or services immediately and without notice if we believe you have violated these Terms or any applicable law.
